Master Services Terms & Conditions
Standard terms governing enterprise network circuits, cloud interconnects, and colocation facilities.
1. Master Services Framework & Scope
These Master Terms of Service (“Agreement” or “Terms”) establish the contractual relationship between Aeris Communications India Private Limited (“Aeris”) and the enterprise client (“Customer” or “Client”) identified in any signed Service Order, Proposal, or digital subscription. This Agreement governs the provision of cellular IoT connectivity, Aeris Fusion eSIMs, the Aeris Mobility Suite (AMS) IoT platform, cloud APIs, telematics gateways, and managed NOC monitoring services.
2. SIM Card Provisioning & Lifecycle Management
Aeris provisions physical SIMs (2FF, 3FF, 4FF), embedded MFF2 SIM chips, and soft eSIM profiles configured for automated multi-carrier roaming across certified Indian and international telecommunications networks:
- Lifecycle States: SIMs operate across defined lifecycle states: Factory / Test-Ready (pre-deployment testing quota), Active (standard billing), Suspended (temporary dormancy), and Retired (permanent deactivation).
- IMEI Lock & Anti-Tampering: Customers may configure IMEI-to-SIM pairing within the Aeris Mobility Suite to prevent unauthorized SIM extraction and illicit data diversion into unauthorized consumer devices.
- Data Pooling & Overages: Enterprise accounts benefit from aggregated data pooling across all active SIMs within a designated tariff plan. Data consumed in excess of pooled allotments is billed at contractual overage rates specified in the Service Order.
3. Telematics & AIS-140 Statutory Compliance
For connected vehicle deployments across commercial fleets, public passenger transit, and hazardous material haulage in India, Customer acknowledges that Aeris IoT connectivity and hardware comply with Automotive Industry Standard AIS-140 as mandated by the Ministry of Road Transport and Highways (MoRTH):
- SIMs provisioned for AIS-140 vehicle location tracking units (VLTD) support embedded e-SIM dual-profile carrier failover.
- Customer is solely responsible for ensuring connected device registration with the corresponding State Emergency Response Support System (ERSS / VAHAN portal).
4. Acceptable Use Policy (AUP)
Customer agrees that Aeris IoT networks and cloud endpoints shall be utilized exclusively for lawful telecommunications, device telemetry, and enterprise machine-to-machine (M2M) communications. The following activities constitute material breach and warrant immediate service suspension:
- Transmitting unlawful, defamatory, or harmful payloads, or facilitating distributed denial-of-service (DDoS) attacks.
- Attempting SIM spoofing, IMSI cloning, unauthorized baseband manipulation, or cellular network probing.
- Utilizing M2M data pipelines for unauthorized consumer voice rerouting or bulk unsolicited messaging (SPAM) in violation of TRAI regulations.
5. Service Level Guarantees (SLA) & Credits
Aeris warrants a core network platform availability of 99.999% during each calendar month. Outages originating in the Aeris Core Packet Gateway or Home Location Register (HLR) exceeding allowable thresholds entitle the Customer to tiered Service Credits applied against the Monthly Recurring Charge (MRC), as formalized in our dedicated Service Level Agreement (SLA).
6. Commercial Invoicing & Payment
All charges are denominated in Indian Rupees (INR) unless otherwise agreed in writing. Invoices are generated monthly in arrears for recurring connectivity fees and platform subscriptions, and are subject to applicable Goods and Services Tax (GST). Invoices are payable within thirty (30) days of the invoice date.
7. Warranties, Limitation of Liability & Indemnity
Except as expressly set forth in this Agreement and the SLA, Aeris delivers connectivity on an “as available” basis across partner carrier radio frequencies. Neither party shall be liable for indirect, consequential, or punitive damages. The total aggregate liability of Aeris arising under any Service Order shall not exceed the total fees paid by Customer to Aeris under the affected Service Order in the preceding six (6) month period.
8. Governing Law & Dispute Resolution
This Agreement shall be construed, interpreted, and governed in accordance with the substantive laws of India. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be referred to arbitration in New Delhi under the Arbitration and Conciliation Act, 1996. The courts located in Gautam Buddha Nagar (Noida) / New Delhi shall have exclusive territorial jurisdiction.
